Orthodontix completes merger with Israel firm

Miami-based Orthodontix said it has completed the merger of its Protalix Acquisition Co. subsidiary with Protalix Ltd., a privately held biotechnology company in Carmiel, Israel. The combined company has approved a change of its name to Protalix BioTherapeutics.
The merger will be accounted for as a reverse acquisition and a recapitalization.
Orthodontix also said its 1 for 10 reverse stock split has become effective and the company will begin trading today under the symbol ORTX.
Phillip Frost, former chairman and chief executive of IVAX and current vice chairman of Teva Pharmaceutical Industries, and Jane Hsiao, former vice chairman of IVAX, have joined the board of Orthodontix, along with Eli Hurvitz, chairman of Teva and Protalix, and David Aviezer, chief executive of Protalix. Hurvitz is now chairman of Orthodontix, and Aviezer is its president and chief executive.
